DLA Piper and Tanoira Cassagne Abogados advise on the mandatory tender offer (MTO) following a change of control of Edenor.

DLA Piper advised Empresa de Energía del Cono Sur S.A. (the “Offeror”) in connection with the Offeror’s mandatory tender offer in Argentina and the United States triggered by a change in control of Empresa Distribuidora y Comercializadora Norte S.A. (“Edenor”) due to the Offeror’s prior acquisition of 51% Class A shares of Edenor (the “MTO”).

Tanoira Cassagne Abogados advised Global Valores S.A. who acted as MTO agent in Argentina.

The MTO was approved by the Argentine Comisión Nacional de Valores (CNV) on November 4, 2021.

Empresa de Energía del Cono Sur S.A. is an Argentine Company whose corporate purpose comprises several activities, such as the distribution of electricity, the investment in energy projects, renewable energy, sustainable technology development and electrification of the economy and transport, among others.
