Tanoira Cassagne Abogados advises on the first issuance of the Serie I Guaranteed CVN Notes of Ricardo Venturino S.A.
Tanoira Cassagne Abogados advised Ricardo Venturino S.A., as issuer (the “Issuer”), Banco Mariva S.A. and Balanz Capital Valores S.A.U., as organizers (the “Organizers”), and Banco Mariva S.A., Balanz Capital Valores S.A.U., Banco de Servicios y Transacciones S.A., and Banco Supervielle S.A., as placement agents (the “Placement Agents”), in the first issuance of the company under the public offering regime through the issuance of PyMEs CNV Guaranteed Serie I Notes for an aggregate amount of $ 120,000,000 (the “Notes”), denominated and to be paid in pesos, due on July 27, 2022, with a variable annual nominal interest rate equivalent to the BADLAR Rate plus a margin of 0 %. The Notes were issued on January 27, 2020.
The Notes are fully guaranteed by Banco Mariva S.A., Banco de Servicios y Transacciones S.A., and Banco Supervielle S.A. as Guarantee Entities authorized by the National Securities Commission (Comisión Nacional de Valores -“CNV”).
Ricardo Venturino S.A. is an official concessionaire of Industrias John Deere Argentina S.A., whose main objective is the wholesale of agricultural new machinery of John Deere brand, sale of multi-brand used machinery received in part of payment of the new units sold, sale of John Deere official spare parts and sale of workshop services.
