Tanoira Cassagne Abogados (TCA) advises on Credicuotas Consumo’s first notes issuance
Credicuotas Consumo S.A. (“Credicuotas”) carried out its first notes issuance within the framework of their Notes Program up to U$S 50,000,000 (or its equivalent in other currencies) for an amount of $2,000,000,000 (the “Notes Series I”).
Banco Industrial S.A. (“BIND”) and Industrial Valores S.A. (“IVSA”) acted as co-arrangers and, IVSA, Banco Mariva S.A. (“Mariva”), Banco Comafi S.A. (“Comafi”), Banco CMF S.A. (“CMF”), Banco Supervielle S.A. (“Supervielle”), Banco de Galicia y Buenos Aires S.A.U (“Galicia”), Banco de la Provincia de Buenos Aires (“Banco Provincia”), Banco de Servicios y Transacciones S.A. (“BST”), Banco Hipotecario S.A. (“Banco Hipotecario”), Balanz Capital Valores S.A.U. (“Balanz”), Allaria Ledesma & Cía S.A. (“Allaria”) y Facimex Valores S.A. (“Facimex”), acted as placement agents (jointly, the “Placement Agents”), in the issuance of the Notes Series I.
The Notes Series I are denominated in pesos, maturing on October 5, 2023 with a variable annual nominal interest rate equivalent to the BADLAR rate plus a margin of 4.75%. The Notes Series I were issued on April 5, 2022.
The Notes Series I were admitted to listing in Bolsas y Mercados Argentinos S.A. and to be traded in Mercado Abierto Electrónico S.A.
Credicutoas will apply the net cash proceeds of the Notes Series I for capital expenditures considering that the corporate purpose of Credicuotas is the creation, commercialization and operation of credit and/or debit card systems and the granting of microcredits and/or loans to individuals and/or legal entities.
